Welcome to Bundlee (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services. By using our site or engaging our services, you agree to these Terms.

1) Who we are

2) Services

We provide digital services including (but not limited to) web design & development, SEO, performance advertising, social media marketing, branding/design, content/video, and related consulting. Specific scope, timelines, deliverables, and fees are defined in our Proposal / Statement of Work (SOW) / Order Form (collectively, “Order”).

3) Engagement & client responsibilities

• You will provide timely briefs, brand assets, content, approvals, and access (e.g., hosting, domain, ad accounts, analytics).

• Delays in inputs or approvals may extend timelines and may incur change orders or fees.

• You confirm you have the rights/permissions to all materials you supply.

4) Deliverables, revisions & acceptance

• Unless otherwise stated in the Order, each deliverable includes up to [2] rounds of revisions within [10] business days of first draft.

• A deliverable is accepted when you approve it in writing or use it in production, whichever occurs first.

• Requests outside scope (features, pages, campaigns, languages, integrations, rush work) will be quoted via change request.

5) Fees, billing & refunds

• Fees, taxes, and payment schedule are defined in the Order. GST and applicable taxes are extra unless stated.

• Upfront/retainers are due before work begins; milestone invoices are due on receipt unless otherwise specified.

• Late payments may pause work and attract a late fee of [1.5% per month] or the maximum permitted by law.

• Refunds: Strategy time, discovery, third-party costs, and completed phases are non-refundable. Prepaid retainers are refundable only for unused, non-committed future work at our discretion.

6) Third-party services & costs

• Projects may require third-party tools (hosting, themes, plugins, fonts, stock assets, ad spend, payment gateways).

• Unless the Order includes them, you pay third-party fees directly and agree to the third party’s terms.

• We are not responsible for outages, changes, or pricing by third parties.

7) Intellectual property & license

• What you own: Upon full payment, you own the final approved design files, website content, and custom code created specifically for you, excluding our pre-existing materials, know-how, and third-party components.

• What we retain: We retain all rights to pre-existing IP, frameworks, templates, and internal tools used to deliver your project.

• License to you: We grant you a non-exclusive, perpetual license to use our pre-existing materials as embedded in your final deliverables.

• Portfolio use: You grant us permission to display your project (screenshots, logos, links, non-confidential results) in our portfolio and marketing. If you require NDA-only display, state this before project start.

8) Content, compliance & acceptable use

• You are responsible for accuracy and legality of your website content, ads, and data collection practices.

• You agree to comply with applicable laws (including advertising standards, IP, privacy, payments, and industry rules).

• You will not use our deliverables for any illegal, harmful, or abusive activity.

9) Data privacy & WhatsApp communications

• We process personal data as described in our Privacy Policy.

• With consent, we may send service messages via WhatsApp (appointments, project updates, invoices, support). You can opt out anytime by replying STOP or emailing support@bundlee.in.

• You agree not to upload or request processing of sensitive or unlawful data.

• We implement reasonable security measures; no method is 100% secure.

• Where applicable, we aim to comply with the Digital Personal Data Protection Act, 2023 (India) and other relevant laws.

10) Hosting, domains & maintenance (if applicable)

• If included, we may provision hosting/domains through third parties. Service levels depend on those providers.

• Ongoing maintenance, updates, backups, and security hardening are included only if specified in a maintenance plan.

• Without a maintenance plan, you are responsible for updates and backups post-launch.

11) Ads & performance disclaimer

• Marketing results depend on many factors (industry, offer, seasonality, budget). We do not guarantee specific rankings, ROAS, or revenue.

• We provide best-effort, good-faith services based on the agreed strategy and budget.

12) Warranties & support

• We warrant that deliverables will substantially conform to the agreed scope for [30] days after launch/hand-off.

• Our sole obligation is to remedy non-conformities reported within the warranty window.

• This warranty excludes changes made by you/third parties, unsupported plugins, hosting issues, or scope changes.

13) Indemnity

You agree to indemnify and hold harmless Bundlee and its personnel from any claims, damages, liabilities, and expenses arising from: (a) materials you provide; (b) your use of deliverables; (c) your breach of these Terms or applicable law.

14) Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of these Terms or our services is limited to the fees paid to us in the 3 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or data loss.

15) Term, suspension & termination

• Either party may terminate for material breach not cured within 10 business days of notice.

• We may suspend services for non-payment or suspected misuse.

• Upon termination, you will pay for work completed and committed third-party costs through the termination date.

16) Non-solicitation

During the project and for 12 months after, you will not directly solicit for employment the employees or contractors involved in your project without our prior written consent.

17) Force majeure

Neither party is liable for delays or failures due to causes beyond reasonable control (e.g., natural disasters, outages, war, government actions).

18) Changes to Terms

We may update these Terms from time to time. The “Last updated” date will change. Material changes will be posted on this page; continued use of our site/services constitutes acceptance.

19) Governing law & jurisdiction

These Terms are governed by the laws of India. Courts located in [City], [State], India shall have exclusive jurisdiction, subject to any mandatory legal provisions.
